Terms of service

These Terms of Service ("Terms") are a binding agreement between you and Ziinc, LLC, a Tennessee limited liability company ("Ziinc," "we," "us," or "our"), the operator of matchstaq (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy policy. If you do not agree, do not use the Service.

You must be at least 18 years old to use the Service. By using it, you represent that you are at least 18, that you can form a binding contract, and that you are not barred from using the Service under applicable law.

matchstaq helps you build an evidence-backed profile from your resume, work history, projects, and connected repositories, and generate resumes and cover letters tailored to a job target. We may add, change, or remove features over time.

You access the Service through an account managed by our authentication provider. You are responsible for keeping your login credentials secure and for all activity under your account. Provide accurate information and keep it current. Notify us promptly of any unauthorized use.

You retain ownership of the content you provide — your resume, profile data, uploaded documents, connected repository content, and job-target information ("Your Content"). You grant us a limited, non-exclusive license to host, process, transmit, and display Your Content solely to operate and provide the Service to you, including sending it to the AI and infrastructure providers listed on our Sub-processors page.

You represent and warrant that:

• You own or have the necessary rights to Your Content and to grant this license;
• You are authorized to connect and grant access to any repository you connect, and to share any code or documentation it contains; and
• Your Content does not infringe the rights of others or violate any law, and the personal information in it relates to you or to people for whom you have a lawful basis to provide it.

The Service uses AI to generate tailored resumes, cover letters, and related output ("Output") from Your Content. matchstaq is designed to ground Output in the information you provide and to avoid inventing facts.

You agree not to:

• Use the Service for any unlawful, infringing, deceptive, or harmful purpose;
• Upload content you do not have the right to use, or connect repositories you are not authorized to access;
• Misrepresent your identity, qualifications, or authorship;
• Interfere with, disrupt, or place undue load on the Service, or attempt to bypass usage limits, security, or access controls;
• Reverse engineer, scrape, or copy the Service except as permitted by law;
• Use the Service to build a competing product; or
• Use the Service on behalf of anyone else without authorization.

The Service integrates with third parties such as your code host, our AI provider, our payment processor, and our identity provider. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them.

matchstaq offers a free tier and one or more paid plans. Paid plans are billed on a recurring basis (for example, monthly) through our payment processor and automatically renew until you cancel. By subscribing, you authorize us to charge your payment method for the applicable fees, plus any taxes.

• Paid features and usage allowances are described in the Service at the time of purchase.
• Credit purchases and usage allowances are consumed as described in the Service.
• We may change prices or plans; we will give notice of material changes, and changes apply to the next billing cycle.
• Failed or past-due payments may result in reduced access to paid features.

You may cancel your subscription at any time. Cancellation stops future renewals; you keep paid access through the end of the current billing period. Except where required by law, payments are non-refundable and canceling does not entitle you to a refund for the current period.

The Service, including its software, design, and content we provide (excluding Your Content), is owned by Ziinc and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Service or its users. On termination, your right to use the Service ends; sections that by their nature should survive (such as ownership, disclaimers, limitation of liability, and governing law) will survive.

THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT OUTPUT WILL BE ACCURATE OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. Some jurisdictions do not allow certain disclaimers, so some of these may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZIINC AND ITS OWNERS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR EMPLOYMENT OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $100. Some jurisdictions do not allow these limitations, so they may not fully apply to you.

You agree to indemnify and hold harmless Ziinc from any claims, damages, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your violation of these Terms or of any law or third-party right.

These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict-of-law rules. Before filing a claim, you agree to first contact us at privacy@ziinc.dev so we can try to resolve it informally. Any dispute that is not resolved will be brought exclusively in the state and federal courts located in Tennessee, and you consent to the jurisdiction of those courts.

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.

These Terms, together with our Privacy policy, are the entire agreement between you and Ziinc regarding the Service. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
